    Governance of family wealth is multifaceted in nature. In order to deepen our understanding of this topical issue, the current article offers a framework to grasp the complexity of family wealth governance. In doing so, the authors make a distinction between family wealth, socioemotional wealth, and family dynamics. The authors bridge the three distinct – yet interrelated – aspects both from a legal and psychological perspective. The framework can expand insight towards conflicts existing within families, across generations. Each component then provides challenges as well as opportunities to manage family conflict in an integrative and sustainable manner, a process which is facilitated by empathy.

Alain Laurent Verbeke is gewoon hoogleraar privaatrecht & ADR aan de KU Leuven. Aan de faculteit psychologie is hij co-founder van het Leuven Center for Collaborative Management en het Leuven Mediation Platform. Alain Laurent is Visiting Professor of Law aan Harvard Law School en tenured Professor of Law aan Tilburg Universiteit en UCP Lisbon Global School of law. Hij is advocaat, partner bij Greenille by Laga, gespecialiseerd in de begeleiding van private clients. Hij is ook onderhandelaar en bemiddelaar in conflicten rond erfenis en family business.

Tijs Besieux
Tijs Besieux doet onderzoek naar leiderschap, teamdynamiek en conflict aan de KU Leuven. Hij is gastprofessor aan de IÉSEG School of Management (Parijs) en docent bij Schouten en Nelissen University (Nederland). Tijs is managing director van het Leuven Center for Collaborative Management, KU Leuven.

    This research aims to explore empirically (method: questionnaire) the usefulness of mediation as a technique of external conflict management in the event of a family business transfer. More specifically, the research intents to verify if the conditions of application, the consequences and the benefits of mediation as described in general literature apply to the context of a family business (transfer), since Prince underlined 25 years ago that research is required to develop: ‘a system of intervention that employs the concepts, techniques, and logic of mediation that apply to the unique aspects of family business’. Results of the own research showed that mediation was an adequate technique of external conflict management in the context of a family business transfer and that it was more successful than consulting, defined as other techniques of external conflict management, in the researched cases. Furthermore, the research found indications that mediation is an adequate technique beyond the researched cases.

    This article investigates the functioning of the Dutch National Contact Point (NCP) during the specific instance procedure based on shared experiences of parties involved in a specific instance procedure, the stipulations of the OECD’s Guidelines for Multinational Enterprises and the Dutch Government Decree 2014. NCPs function as a unique implementation mechanism of these guidelines by providing mediation and conciliation services during specific instance procedures. The recent debate in the Netherlands on the functioning of the Dutch NCP and the lack of rigorous up-to-date research necessitate further research on this topic. Hence, this article shares more in-depth knowledge about the functioning of the Dutch NCP, contributes to the ongoing debate in Parliament and in the OECD on the functioning of NCPs, and presents suggestions for further improvement.

    The cost of conflicts in the Netherlands between civil parties or individuals and the government add up to more than 12 billion Euro. For this calculation, a framework has been developed to distinct between three cost categories: Subject (parties) cost, System cost (e.g. court) and Consequential cost. The latter category represents more than 50% of the total cost, the majority of which are born by commercial parties and employer. The government bears 12,5% of the total cost. The impact on insurance companies could not be estimated but is suspected to be substantial. It are these three parties who in concert should fund further investigation and develop initiatives to reduce the financial and human cost of conflicts. It is to be investigated which incentives are required to make this game change to take place.

    Research has been conducted by Leiden Law School into the efficacy of an instrument based on insolvency practice, ‘Harvard negotiation’ and ‘serious gaming’ aiming at better conflict management in case of (near) bankruptcy. Business rescue workout simulation games were played at different places worldwide. Serious gaming provides insight in the complexity and dynamics of (informal) reorganizations. The research further confirms that the Harvard negotiation-principles and the INSOL International Statement of Principles for a Global approach to multi-creditor workouts may provide a useful contribution to the realization of a successful (international) financial restructuring. The intervention of skilled neutrals is often significative. More focus on communication, negotiation and cooperative dispute resolution is also consistent with the initiatives of legislators and policymakers which stimulate companies to restructure at an early stage of financial distress. These developments also make ADR-skills become of more relevance to (insolvency) professionals.

    Managing commercial conflicts requires reflexivity: the description of the conflict influences the manner in which the conflict is handled, and changing this description may influence this approach and the desirable outcome. The Belgian law firm contrast was curious to find out more of different parameters influencing the manner in which a conflict is handled. It developed an in-dept questionnaire and submitted it to 40 participants. The findings of this research are commented.

    Colombia has been a territory with some social and political difficulties which have affected several dynamics of the community as well as the legal security in almost all levels of the Colombian society. The alternative dispute resolution mechanisms arise as a response for all the gaps that such circumstances produce in the country and as useful tools to solve numerous disputes in different fields. The Chamber of Commerce of Bogotá, through its Arbitration and Conciliation Center founded in 1983, is making a permanent bet to support the Colombian citizens’ coexistence in the schools, in the neighbourhoods, in the companies that provide jobs as well as benefits to the city and to the whole country. Clever strategies have been developed through the years with three purposes: change the culture about the alternative dispute resolution methods, provide confidence in using them and change the way the people manage their conflicts.

    The article looks at the background to the use of mediation as a tool for resolving tax disputes between the UK tax authorities (HMRC) and UK taxpayers. It explains HMRC's litigation and settlement strategy which comprises the broad structure within which HMRC must operate to resolve such disputes. It then looks at specific guidance published by HMRC dealing with ADR and mediation in particular. The operational elements of this guidance, and the authors practical experience of them are then described, as are their views, with the limitations of the process. Finally the authors look at the application of ADR in the international arena.


Peter Nias
Peter Nias is a barrister and CEDR accredited mediator. He is a member of Pump Court Tax Chambers in their ADR Unit, a member of CEDR’s Tax Panel of mediators and has collaborated with CEDR to create the Tax Disputes Resolution Hub. Until 2012 he was a partner and solicitor in the law firm of McDermott Will & Emery UK LLP, where he was head of the Tax Practice and its Tax Dispute Resolution Group. Since qualifying in 2010 as an CEDR Accredited Mediator, Peter has been focussing his time advising clients on mediation and premediation strategies for resolving tax disputes. He has been working with HMRC’s Dispute Resolution Unit in developing a collaborative dispute resolution (CDR) Programme for complementing their Litigation and Settlement Strategy.

    This paper is a combination of the ‘Oxford study 2012’ (C. Hodges, I. Benöhr & N. Creutzfeldt-Banda, Consumer ADR in Europe, Oxford: Hart Publishing 2012) and subsequent publications about consumer dispute resolution in Europe. Recent EU legislation aims to establish a EU-wide framework for consumer alternative dispute resolution (CADR or CDR) schemes and a platform for online dispute resolution (ODR). This forces member states to revisit their existing CDR models and in some cases, to modernize their structures. Many member states face challenges of reform of existing systems by the directives implementation date of 2015. This paper will provide an overview of CDR, the development of current legislation and discuss some national examples. The paper concludes with comments about implementation of the directive and potential future direction.

    Disputes are part of a company’s daily business reality, involving a broad range of internal and external stakeholders. As disputes may have significant consequences in terms of costs and damages, it is crucial that disputes are managed in a ‘wise’ manner. In this context, PwC and the Institute of Conflict Management at the European University Viadrina Frankfurt (Oder) initiated a broader ten years research project. The fourth and most recent survey was published in October 2013 and examines the question of how dispute management can be established as a means of value based corporate governance. The survey describes how disputes can be successfully managed by employing a professional framework and associated tools.

The Study concluded that despite an increase in mediation awareness and the proven benefits it can have, mediation still remains largely unused as a method of dispute resolution.

Huub Sprangers
Ir. H.F.A. Sprangers (1949) is oud-ondernemer. Hij was tussen 1999 en 2005 voorzitter van de Vereniging Bouwmediators.nl en haar rechtsvoorganger NMI Groep Bouw. Daarnaast was hij rond de eeuwwisseling actief voor de Regio NMI Mediators Haaglanden, voor wie hij een samenwerking met de Kamer van Koophandel realiseerde, en in dezelfde periode grondlegger, medeoprichter en vervolgens eerste voorzitter van de Nederlandse Mediatorsvereniging (NMv; 2000-2008). Hij is sinds 2008 erevoorzitter van de NMv en zat van 2002 tot juli 2011 namens de NMv in het bestuur van het Nederlands Mediation Instituut (NMI). Van 2005 tot medio 2011 was hij voorzitter/coördinator van het Centraal Mediators Beraad, een informele samenwerking tussen NIP sectie mediation (psychologen), NMv, NVvMA (advocaten), vFAS (familierecht) en VMSN (notarissen).     Mediation is not very popular (yet) in the Dutch private sector. The author used his own network of business relations to investigate the motives not to choose mediation in solving business conflicts. Entrepreneurs and managers recognize mediation as a suitable method to solve personal conflicts like in family and community mediation. In business conflicts however, parties try not to get too personally involved and to keep feelings and emotions away from the negotiations. This investigation made clear that the timing of the conflict management process is a crucial factor in the unpopularity of mediation. The moment to choose a suitable method for dispute resolution is when the entrepreneur or manager failed to solve the dispute together with the other party. At this stage the competences of the mediator are competing with those of the entrepreneur/manager and therefore the choice for mediation is not very likely. This can only be changed by the introduction of dispute consultancy earlier in the process. Also the promotion of the traditional values and benefits of mediation does not seem to match the desires of most of the entrepreneurs and managers. Mediators might invest in pilots with companies to create opportunities for conflict consultancy and the introduction of a dispute analysis as early as possible in the process.

    Alternative Dispute Resolution (ADR) and Online Dispute Resolution (ODR) are on the rise in Europe and different Member States. In May 2013, the European Parliament and Council adopted an ADR Directive (n 2013/11) and ODR Regulation (n 524/2013) that will bring major changes in the European and national ADR landscapes. Both instruments are analyzed in this article. On the other hand, attention is also paid to the Belgian ODR-platform Belmed, that was created in 2011 and facilitates Belgian consumers to make an online ADR application. Finally, a plea is made for the exchange of data between ODR-platforms and national regulators, as a means to detect mass cases.

    Employee resistance to change is a key factor to turnaround failure. Interim managers who support companies in financial distress, mediate between employees, management, shareholders, bank, and other stakeholders in order to solve organisational conflicts. This article explores the internal social dynamic aspects of a turnaround. It develops a theoretical framework on the role of trust, emotion and communication, and its affect on reducing internal resistance, and describes the outcomes of an exploratory research study. Findings confirm that employee motivation to make a reorganisation a success significantly impacts upon turnaround success. Resistance can be reduced by an open communication climate, offering a new perspective, attention to emotions, managing by walking around, and ‘practicing what you preach’. More research is necessary to generalize the findings and to better understand success and failure factors.
