    De mededingingsregels, waaronder de staatssteunregels, bieden ruimte aan overheden en ondernemingen om de ingrijpende economische gevolgen als gevolg van de Covid-19-crisis op te vangen. In tijdelijke kaders heeft de Europese Commissie uiteengezet welke bijzondere steunmaatregelen en welke samenwerkingsvormen tussen concurrerende ondernemingen zijn toegestaan. Om snel ingrijpen mogelijk te maken heeft de Commissie voorzien in flexibele procedures die op korte termijn rechtszekerheid bieden. In deze bijdrage bespreken wij de specifieke invulling van de mededingingsregels in de tijdelijke kaders en gaan wij in op de vraag wat de tijdelijke materiële en procedurele flexibiliteit betekent voor de toekomst van deze regels.

    Those involved in a motor vehicle accident often have emotional needs that are not being met within the current framework of personal injury settlement. These needs include sharing one’s (side of the) story, getting in touch with the other person(s) involved and offering or receiving apologies. Following Nils Christie’s theory of ‘stolen’ conflicts, the fact that the people involved are often represented by lawyers or insurance companies is problematic because it alienates them from each other and it thwarts proper recovery. Incorporating restorative justice could offer a solution to this ‘theft’ of conflict, as it focuses on bringing all involved together to restore any of the harm done by concentrating on their needs. The central question to this dissertation is: how can restorative justice play a role in the sustainable resolution of conflicts after motor vehicle accidents so that the current insurance and liability system can better meet the immaterial needs of victims and perpetrators? Via several projects, the role of lawyers and insurance companies is studied. How beneficial or adversarial are their influences on victims and offenders? And can they incorporate restorative justice in their practice? The first publication is expected at the end of this year.

    The article presents the status quo of the law of retrial in Germany and gives an overview of the law and practice of the latter in favour of the convicted and to the disadvantage of the defendant. Particularly, the formal and material prerequisites for a successful petition to retry the criminal case are subject to a detailed presentation and evaluation. Because no official statistics are kept regarding successful retrial processes in Germany, the actual number of judicial errors is primarily the subject of more or less well-founded estimates by legal practitioners and journalists. However, there are a few newer empirical studies devoted to different facets of the subject. These studies will be discussed in this article in order to outline the state of empirical research on the legal reality of the retrial procedure. Against this background, the article will ultimately highlight currently discussed reforms and subject these to a critical evaluation as well. The aim of the recent reform efforts is to add a ground for retrial to the disadvantage of the defendant for cases in which new facts or evidence indicate that the acquitted person was guilty. After detailed discussion, the proposal in question is rejected, inter alia for constitutional reasons.

    The article analyses the jurisprudence of international tribunals on the education and housing of Roma and Travellers to understand whether positive obligations can change the hearts and minds of the majority and promote minority identities. Case law on education deals with integration rather than cultural specificities, while in the context of housing it accommodates minority needs. Positive obligations have achieved a higher level of compliance in the latter context by requiring majorities to tolerate the minority way of life in overwhelmingly segregated settings. Conversely, little seems to have changed in education, where legal and institutional reform, as well as a shift in both majority and minority attitudes, would be necessary to dismantle social distance and generate mutual trust. The interlocking factors of accessibility, judicial activism, European politics, expectations of political allegiance and community resources explain jurisprudential developments. The weak justiciability of minority rights, the lack of resources internal to the community and dual identities among the Eastern Roma impede legal claims for culture-specific accommodation in education. Conversely, the protection of minority identity and community ties is of paramount importance in the housing context, subsumed under the right to private and family life.

Het Verbond van Verzekeraars begint in 2021 met WA-direct, een eerste innovatieve stap, nog op basis van het huidige aansprakelijkheidsrecht maar met het oog op meer. In dit artikel worden deze ontwikkelingen besproken en met elkaar in verband gebracht. De mogelijkheden van een stelsel van directe schadeverzekering worden vergeleken met die van het aansprakelijkheidsrecht en WA-direct.

    A firm intention announcement must be made when the offeror is able and willing to acquire securities, and when a mandatory offer must be made. When the firm intention announcement is implemented, some sort of a contract is created. This rule has helped to determine the particular time the offeror should be liable to minorities. The question of when the offeror should bear the obligation to implement mandatory offers in aborted takeovers is thus no more problematic. Previously, the courts wrestled with this issue, but delivered what appears to be unsatisfactory decisions. This article will discuss the effect of a firm intention announcement and the responsibility that attends the making of that announcement. It intends to illustrate the extent of liability the offeror must bear in the event of a lapsed takeover, before and after the making of the firm intention announcement. The article examines the manner in which takeover rules can be enforced, and whether the current measures afford minorities proper protection. This brings to light the issue of equal treatment in takeovers and the fallacy thereof. A minor appraisal of the takeover rules in two jurisdictions in Europe (the United Kingdom and the Netherlands) is conducted to assess how equal treatment for minorities is promoted. Due to the difficulty minorities may experience in enforcing equal treatment in company takeovers, the article advocates for the alteration of the current South African takeover procedure for the promotion of minorities’ interests and for establishing rules that provide the offeror adequate information.

    In dit artikel staan twee spraakmakende uitkoopprocedures centraal: Xeikon en Sirowa. De Ondernemingskamer oordeelde in deze uitkoopzaken dat (mogelijke) vorderingen tot schadevergoeding van de vennootschap op derden – en daarmee samenhangend met de door de minderheidsaandeelhouder geleden afgeleide schade – van belang kunnen zijn bij het vaststellen van de uitkoopprijs. Om de (mogelijke) vorderingen op derden te betrekken bij de prijsvaststelling trok zij een parallel met de ratio van de billijke verhoging als bedoeld in art. 2:343 lid 4 BW. In dit artikel onderzoekt de auteur hoe deze benadering past in het leerstuk van de afgeleide schade en zoomt hij nader in op de manier waarop de Ondernemingskamer de uitkoopprijs vaststelde in deze uitkoopprocedures.

    The Supreme Court of the Netherlands has quashed a verdict of the Court of Appeal that held that a social plan provision stipulating the capping of a redundancy allowance in view of an entitlement to early retirement pension was invalid because of age discrimination. According to the Supreme Court, a more marginal justification test should have been applied to a social plan. The Court of Appeal, moreover, did not consider all the legitimate aims it specified and should also have taken additional social plan measures as well as pension measures from the past into account. By not doing so, it was not properly examined whether the social plan constituted age discrimination.

    Recently, the Danish Eastern High Court found that an employee’s sickness absence was a result of the employer’s failure to comply with its obligation to offer reasonable accommodation for the employee’s disability. For that reason the employee, who was dismissed in pursuance of the Danish ‘120-day rule’, was entitled to compensation for unfair dismissal under the Danish Anti-Discrimination Act.

    The Federal Labour Court of Germany (Bundesarbeitsgericht, ‘BAG’) has decided that a social plan that distinguished between employees who were born in 1960 or later and employees who were born before 1960 for the calculation of severance payment did not constitute unjustified age discrimination. However, a regulation in a social plan which referred to the “earliest possible” entitlement to a statutory pension when calculating the severance payment constituted unjustified indirect discrimination against disabled persons.

The annulment of the decision at issue constitutes appropriate compensation for any non-material damage which the appellant may have suffered in the present case.
